The Paralegal reports directly to the Corporate Director, Assistant General Counsel and Assistant Corporate Secretary in the Corporate Secretary’s Office and works with the attorneys and paralegals in the Corporate Secretary’s Office to:

  • Assist with the oversight and management of Section 16 matters, including preparing Forms 3, 4 and 5 under the supervision of an attorney and assisting with the administration of the company’s insider trading policy, including tracking pre-clearance lists and requests, Rule 10b5-1 trading plans and trades and trading window notices
  • Support the preparation of SEC filings (e. g., Forms 10-K, 10-Q and 8-K and proxy statements) and NYSE filings, including filing required notifications and reports;
  • Prepare and file annual state and foreign filings for the company’s subsidiaries and support the management of the company’s subsidiaries and related governance matters;
  • Draft routine corporate documents, including powers of attorney, organizational documents, board resolutions and other certificates to form and maintain the company’s U.S. and foreign subsidiaries;
  • Process and manage various corporate information requests from other business partners and departments, including treasury, tax and accounting;
  • Assist with obtaining legalization of corporate documents and certificates;
  • Assist in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations and other forms of business entities;
  • Maintain and update the company’s entity management database;
  • Assist with tasks or projects that support the company’s corporate governance activities, including the Board of Directors and the annual shareholders meeting; and
  • Conduct research and resolve routine legal questions under the direction of an attorney.

This individual engages in a variety of tasks ranging from repetitive to those calling for judgment and independent initiative. This position will interact with all levels of management at both the corporate and sector level. This individual must possess the highest standards of ethics, integrity and maturity of judgment.

BASIC QUALIFICATIONS:

  • High School Diploma and a minimum of 7 years experience in a corporate legal-related position
  • Paralegal certificate or degree in paralegal studies (or in the process of obtaining a paralegal certificate) required

This position requires a basic understanding of corporate entity structures and related documentation, such as charters, bylaws and board resolutions. Strong organizational and time-management skills are required, including the ability to balance multiple, competing priorities and individuals and meet deadlines. A strong commitment, collaborative approach and ability to work in a team environment is essential. The individual should be a motivated self-starter and be able to work independently. Excellent verbal and written communication skills, as well as project management, analytical, planning, presentation and human relations’ skills are required. The demonstrated ability to build and foster effective relationships with others is critical.

PREFERRED QUALIFICATIONS:

A bachelor’s degree and previous in-house or law firm experience with SEC filings, including 10-Ks, 10-Qs and Section 16 filings is highly preferred. In-house corporate paralegal experience managing subsidiaries and/or familiarity with the hCue system or similar entity management system also preferred. Experience with managing international subsidiaries is a plus.

This position will be located in Falls Church, VA. This position is not relocation eligible.

Salary Range: $82,400 - $137,400
The above salary range represents a general guideline; however, Northrop Grumman considers a number of factors when determining base salary offers such as the scope and responsibilities of the position and the candidates experience, education, skills and current market conditions.
Employees may be eligible for a discretionary bonus in addition to base pay. Annual bonuses are designed to reward individual contributions as well as allow employees to share in company results. Employees in Vice President or Director positions may be eligible for Long Term Incentives. In addition, Northrop Grumman provides a variety of benefits including health insurance coverage, life and disability insurance, savings plan, Company paid holidays and paid time off (PTO) for vacation and/or personal business.
